1. Agreement and eligibility
These Terms & Conditions (“Terms”) apply to your access to the Reyanex website and to enquiries or services provided by Reyanex Technologies (“Reyanex”, “we”, “us”, or “our”). By using the website, submitting an enquiry, accepting a proposal, or purchasing a service, you agree to these Terms.
You confirm that you are legally capable of entering into an agreement and, where you act for a company or organisation, that you have authority to bind it.
2. Our services
Reyanex provides software product strategy, UX and UI design, custom web application development, mobile application development, SaaS and cloud platforms, APIs and integrations, ERP and business systems, AI automation, e-commerce development, implementation, maintenance, consulting, and related support.
Website descriptions are general information. The exact scope, deliverables, technology, timeline, support level, dependencies, and fees for a project will be defined in the applicable proposal or statement of work.
3. Enquiries, proposals, and scope
An enquiry, estimate, demonstration, or conversation does not create a binding obligation to start a project. A project begins only after both parties accept the applicable commercial and project terms.
Changes to scope, requirements, integrations, content, approvals, or assumptions may affect delivery dates and fees. We will communicate material changes and may require written approval before continuing with additional work.
4. Client responsibilities
You are responsible for providing accurate requirements, timely decisions, content, credentials, access, test data, feedback, approvals, and any licences or permissions needed for the project. You must ensure that information, content, data, and instructions supplied to us may lawfully be used for the project.
Delays in receiving required information, access, feedback, approvals, or payments may move milestones and may result in additional charges where stated in the project agreement.
5. Fees, taxes, and payments
Fees, payment milestones, applicable taxes, reimbursable expenses, and payment due dates will be stated in the applicable proposal, invoice, or checkout. Unless agreed otherwise, taxes and third-party charges are payable by the client.
Where online payments are enabled, the transaction may be processed by an authorised payment gateway. The merchant name, amount, payment status, transaction reference, and refund or cancellation process will be handled according to the checkout information and the Refund & Cancellation Policy.
We do not store raw card numbers, CVV, PINs, or payment-instrument credentials. A payment may be delayed, declined, reversed, or placed under review by the gateway, card issuer, bank, or applicable fraud controls.
6. Delivery, review, and acceptance
Delivery dates are estimates unless a signed project agreement expressly states otherwise. Milestones may depend on client inputs, third-party services, app-store or marketplace review, hosting, payment providers, content, data migration, and other dependencies outside our reasonable control.
You should review deliverables within the review period stated in the project agreement and provide specific feedback. A deliverable may be treated as accepted when you approve it, put it into production use, or do not raise a material issue within the agreed review period.
7. Intellectual property
Each party retains ownership of its pre-existing materials, tools, trademarks, content, software, methods, know-how, and data. Unless the project agreement states otherwise, Reyanex retains ownership of its reusable frameworks, libraries, templates, generic components, processes, and know-how.
After full payment of amounts due for a deliverable, the client receives the rights expressly granted in the applicable project agreement. Third-party software, open-source components, fonts, stock media, APIs, and platform services remain subject to their own licences and terms.
You grant Reyanex the limited rights needed to use your materials, data, and instructions to provide the services. We will not publicly identify confidential client work as a case study without permission.
8. Acceptable use
You must not use the website or services to violate law or third-party rights, distribute malware, conduct fraud, infringe intellectual property, send unlawful communications, interfere with systems, attempt unauthorised access, or process data without the required permissions.
We may suspend access or refuse work where we reasonably believe the request creates legal, security, safety, fraud, or reputational risk.
9. Confidentiality and data
Each party will protect the other party’s confidential information using reasonable care and will use it only for the relevant business relationship. Confidentiality obligations do not apply to information that is public without breach, already lawfully known, independently developed, or required to be disclosed by law.
Personal information submitted through this website is handled under our Privacy Policy. If a project involves personal data, production data, regulated information, or data processed on the client’s behalf, the parties should agree appropriate data-processing and security terms before that work begins.
10. Warranties and support
We will provide services with reasonable skill and care and will try to correct reproducible defects in deliverables that do not conform materially to the agreed scope, subject to the project agreement and the client’s timely notice.
Unless expressly agreed in writing, we do not guarantee uninterrupted availability, a particular business result, search ranking, app-store approval, third-party availability, or that software will be completely free of defects or security risk. Support and maintenance are provided only to the extent included in the applicable plan or agreement.
11. Suspension and termination
Either party may terminate a project as permitted by the applicable project agreement. We may suspend services for overdue payment, security concerns, unlawful use, or material breach after giving reasonable notice where practical.
On termination, the client must pay for services performed, approved milestones, committed third-party costs, and other non-cancellable amounts up to the termination date. Data, access, handover, and transition support will be handled as stated in the project agreement.
12. Refunds and cancellations
Refund eligibility depends on the service, work completed, milestone acceptance, third-party charges, and the applicable project agreement. Please read our Refund & Cancellation Policy before making a payment.
13. Liability
To the maximum extent permitted by law, Reyanex will not be liable for indirect, incidental, special, consequential, exemplary, or loss-of-profit damages, or for loss caused by third-party platforms, client instructions, client systems, unauthorised changes, or events outside our reasonable control.
To the maximum extent permitted by law, our aggregate liability for a claim relating to a project will not exceed the fees paid for the affected services during the period stated in the applicable project agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
14. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve a dispute through good-faith business discussions. If a dispute cannot be resolved, it will be subject to the courts having jurisdiction over Reyanex’s registered office, unless the applicable project agreement states a different process.
